Ordering and Quote Terms (Offline Orders)

Scope

These terms apply to quotes, purchase orders, and offline sales made by Metal Spray Supplies Australia Pty Ltd trading as MSSA Interweld, ABN 11 632 550 200 (we, us, our) to customers (you). Online enquiries do not form a contract. A contract is formed when we accept your order in writing (e.g., order acknowledgment) or by supplying the goods.

Quotes and pricing

Quotes are valid for 30 days unless stated otherwise.

Prices are in Australian dollars. No prices are listed on our website; pricing is provided in quotes and invoices.

If suppliers change pricing or freight materially before acceptance, we may update the quote after notifying you.

Orders and acceptance

Your order is an offer to buy. We accept when we confirm in writing or by supplying the goods.

We may reject orders at our discretion (e.g., limited stock, pricing error).

Payment terms

Consumers: payment terms as specified on the invoice.Business/trade accounts: subject to approved credit and stated payment terms; otherwise payment prior to dispatch. Late amounts may incur interest at 1.5% per month plus reasonable recovery costs.

Delivery, risk, and title

Delivery dates are estimates. We are not liable for delays outside our reasonable control.

Risk in goods passes on delivery to your nominated location or carrier.

Title passes when we receive full payment for the goods and all other amounts owed. Until then, you hold goods as bailee and must keep them identifiable. We may register a security interest under the PPSA and you agree to do all things reasonably required for registration and enforcement.

Specifications and installations

You are responsible for verifying that goods meet your requirements and are suitable for your intended use.Any guidance we provide is general only and does not replace professional advice.Installation and usage must follow manufacturer instructions and applicable standards.

Warranty, defects and returns

Your rights under the Australian Consumer Law (ACL) apply in addition to any manufacturer warranty.

Notify us of defects within a reasonable time. We may require evidence (photos, serials) and return of goods for assessment.

No change‑of‑mind returns: we do not accept returns for change of mind, custom, special‑order, or cut‑to‑length items. Where required by the ACL, we will provide a remedy for faulty or misdescribed goods.

Limitation of liability

To the extent permitted by law, our liability for a failure to comply with a consumer guarantee is limited to one of the remedies in section 64A of the ACL (repair, replacement, or refund for goods; resupply or cost of resupply for services), unless a major failure occurs.

We are not liable for indirect, special, or consequential loss, loss of profit, loss due to downtime, or loss of opportunity.

Force majeure

We are not liable for delays or failure caused by events beyond our reasonable control (e.g., supply chain disruption, transport, strikes, emergencies).

Cancellation

You may request cancellation before dispatch; fees may apply for costs incurred.

We may cancel if you breach these terms, become insolvent, or supply is unavailable, in which case we will refund amounts paid for undelivered items.

Governing law

Queensland, Australia. Courts of Queensland have exclusive jurisdiction.

Mandatory ACL wording for goods supplied to consumers

Our goods come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods repaired or replaced if the goods fail to be of acceptable quality and the failure does not amount to a major failure.
